In our focus region cross-border agreements for the acquisition of equity interests in companies, warranty deeds, joint venture agreements and shareholders’ agreements are frequently governed by English law. This usually provides the parties with the benefit of greater legal certainty as well as greater contractual flexibility. In such cases we work closely with local counsel to ensure that the agreements accurately reflect any mandatory national law requirements.
Recent work carried out by lawyers in the team includes the following:
- Advised Asian Development Bank on its US$30 million subscription for shares in Ameriabank CJSC, the largest bank by assets in Armenia.
- Advised EBRD on its US$45 million subscription for shares in the agricultural JSC Holding Kazexportastyk, its first equity investment in Kazakhstan’s agricultural sector.
- Advised CapAsia on the US$50 million investment by its Islamic Infrastructure Fund in JSC Central Asian Electric Power Corporation in northern Kazakhstan.
- Advised a Hong Kong company on its proposed US$640 million acquisition of a mid-size Kazakhstani oil company.
